These Terms of Service ("Terms") govern your access to and use of the SmartLC platform and website at smartlc.ai ("Service"), operated by SmartLC ("we", "us", or "our"). By accessing or using the Service, you agree to be bound by these Terms.

1. Eligibility

The Service is intended for businesses and professionals involved in international trade finance. You must be at least 18 years old and have the authority to bind the organisation you represent to these Terms.

2. Account Registration

To use certain features of the Service, you must create an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to provide accurate, current, and complete information during registration and to keep your account information updated.

3. Use of the Service

SmartLC provides AI-powered tools for Letter of Credit document checking, management, and compliance verification. You may use the Service solely for your legitimate business purposes in accordance with these Terms and all applicable laws.

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable regulations.
• Attempt to gain unauthorised access to the Service or its related systems.
• Interfere with or disrupt the integrity or performance of the Service.
• Reverse engineer, decompile, or disassemble any part of the Service.
• Use the Service to transmit malicious code or harmful content.
• Resell, sublicense, or redistribute the Service without our written consent.

4. Your Data and Documents

You retain ownership of all documents and data you upload to the Service. By uploading content, you grant us a limited licence to process, store, and analyse your documents solely for the purpose of providing the Service to you. We do not claim ownership of your content.

You are solely responsible for the accuracy and legality of the documents and data you upload. SmartLC does not verify the authenticity or legal validity of trade documents.

5. AI-Powered Analysis — Important Limitations

The Service uses artificial intelligence to analyse trade documents and identify potential discrepancies against Letter of Credit terms. While we strive for accuracy, you acknowledge and agree that:

• AI analysis is provided as a decision-support tool, not a substitute for professional judgement.
• SmartLC does not guarantee that all discrepancies will be identified or that all flagged items are actual discrepancies.
• You are responsible for independently verifying the accuracy of all document checks before presenting documents to a bank.
• SmartLC is not a bank, financial institution, or legal adviser. Our compliance checks do not constitute legal, financial, or banking advice.
• Final document examination and acceptance decisions rest with the relevant banking institutions.

6. Subscription and Payment

Access to certain features requires a paid subscription. Subscription fees, billing cycles, and payment terms are as specified at the time of purchase. All fees are non-refundable unless otherwise stated or required by applicable law.

We reserve the right to modify pricing with reasonable notice. Continued use of the Service after a price change constitutes acceptance of the new pricing.

7. Intellectual Property

The Service, including its software, design, content, and branding, is owned by SmartLC and protected by intellectual property laws. These Terms do not grant you any rights to our trademarks, logos, or other brand features.

8. Confidentiality

We treat your trade documents and business data as confidential. We will not disclose your confidential information to third parties except as required to provide the Service, comply with legal obligations, or as otherwise described in our Privacy Policy.

9. Availability and Support

We aim to provide a reliable service but do not guarantee uninterrupted availability. We may perform scheduled maintenance with reasonable notice. Unscheduled downtime may occur due to circumstances beyond our control.

10. Limitation of Liability

To the maximum extent permitted by law:

• SmartLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service.
• Our total liability for any claim arising from these Terms or the Service shall not exceed the amount you paid us in the twelve months preceding the claim.
• We are not liable for any losses arising from discrepancies missed by the AI analysis, document rejections by banks, delayed payments, or any other trade finance outcomes.

11. Indemnification

You agree to indemnify and hold harmless SmartLC, its officers, directors, and employees from any claims, damages, or expenses arising from your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

12. Termination

Either party may terminate the agreement at any time. You may close your account by contacting us. We may suspend or terminate your access if you breach these Terms, with notice where practicable. Upon termination, your right to use the Service ceases immediately. We will make your data available for export for a reasonable period following termination.

13. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by email or through the Service. Continued use after changes take effect constitutes acceptance of the revised Terms.

14. Governing Law

These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
